End User License Agreement (B2B)
IMPORTANT – READ CAREFULLY: This End User License Agreement ("Agreement") is a legal agreement between your corporate entity ("Licensee", "You") and Cognito One SAS (a company registered in France) ("Licensor", "We", "Us") for the use of the Stratika Matrix offline data viewer, including all associated software, proprietary data formats (including .mgram files), and documentation (collectively, the "Software").
By purchasing, downloading, or accessing the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not download or use the Software.
1. GRANT OF LICENSE
Subject to your continuous compliance with this Agreement and payment of applicable fees, Licensor grants you a limited, non-exclusive, non-transferable, and non-sublicensable license to use the Software for your internal business operations for a period of twelve (12) months from the date of purchase (the "Term"). a) Authorized Users: The Software may only be used by the number of authorized users specified in your subscription tier (e.g., Solo, Desk, or Enterprise Site License). Under a Site License, authorized users are strictly limited to employees holding an active corporate email address matching the Licensee's registered corporate domain. b) Audit Rights: Licensor reserves the right, upon reasonable notice, to request written certification signed by an authorized officer of the Licensee, confirming that the Software is being used in full compliance with the user limits of the purchased tier.
2. STRICT RESTRICTIONS ON USE
You shall not, and shall not permit any third party to: a) Copy, distribute, rent, lease, lend, sub-license, or sell the Software or any data contained therein. b) Reverse-engineer, decompile, decrypt, or attempt to derive the source code or raw data structures of the Software, specifically including the proprietary .mgram data format. c) Extract, scrape, export, or parse the underlying data (via scripts, automated tools, or manual extraction) to create a derivative database or integrate it into internal ERP/compliance systems (unless operating under an explicit "Data Feed" license). d) Use the Software, its data, or its outputs to train, fine-tune, or otherwise feed Large Language Models (LLMs), neural networks, or any AI/machine learning systems. e) Remove, alter, or obscure any proprietary notices, watermarks, or labels on the Software or its generated PDF exports.
3. TERM, RENEWAL, AND TERMINATION (KILL-SWITCH)
a) Term: This license is valid for exactly twelve (12) months. Upon expiration, your right to use the Software and access the offline data automatically ceases unless renewed. b) Termination: Licensor may terminate this Agreement immediately and without notice if you breach any term, particularly Section 2. Upon termination or expiration, you must irretrievably delete all copies of the Software from your systems.
4. INTELLECTUAL PROPERTY
The Software, including its structure, organization, the .mgram grammar, and all curated data matrices, constitutes valuable trade secrets and intellectual property of the Licensor. You acknowledge that no title to the intellectual property in the Software is transferred to you.
5. DISCLAIMER OF WARRANTIES ("AS IS" & NOT LEGAL ADVICE)
a) Not Legal or Financial Advice: The Software is an analytical reference tool only. It does NOT constitute legal, tax, compliance, or financial advice. You are solely responsible for consulting qualified legal counsel in the relevant jurisdictions before making corporate structuring or compliance decisions. b) "AS IS" Delivery: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. LICENSOR EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TIMELINESS, AND ABSOLUTE FACTUAL ACCURACY.
6. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA UBO EXPOSURE, COMPLIANCE FINES, OR BUSINESS INTERRUPTION ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE. IN ALL CASES, LICENSOR'S ENTIRE AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL BE STRICTLY LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU FOR THE SOFTWARE LICENSE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
7. ASSIGNMENT (CORPORATE RESTRUCTURING)
Licensor may assign, transfer, or novate its rights and obligations under this Agreement, in whole or in part, to any affiliate, subsidiary (including but not limited to Pragmatika, Iceland), or third party, at any time without the prior written consent of the Licensee. You may not assign or transfer your rights under this Agreement without our express written consent.
8. GENERAL PROVISIONS
a) No Support SLA: The Software is delivered as a static, offline product. This Agreement does not entitle the Licensee to technical support, onboarding, or integration assistance unless separately contracted. b) Taxes: All fees are exclusive of value-added tax (VAT), sales tax, or any other applicable governmental taxes. Licensee is solely responsible for all such taxes based on their jurisdiction.
9. GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by and construed in accordance with the substantive laws of Switzerland (Canton of Geneva), excluding its conflicts of law principles and the UN Convention on Contracts for the International Sale of Goods. Any dispute arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the competent courts of the Canton of Geneva, Switzerland.
